This Website Terms & Conditions Agreement (the "Agreement") is between you and Primana Insights LLC ("Primana Insights," "we," "us," or "our"), operating at 971 US Highway 202N, Branchburg, NJ 08876.
By accessing or using the Primana Insights website, including all pages, forms, content, and features (collectively, the "Site"), you agree to the terms and conditions set out in this Agreement. Please read this Agreement carefully before using the Site. If you do not agree to these terms, you may not access or use the Site.
1. Acceptance of Terms
By Using This Site, You Agree
By using this Site — including browsing pages, completing forms, joining our panel, or submitting a project inquiry — you acknowledge that you have read, understood, and agree to be bound by this Agreement, along with our Privacy Policy, which is incorporated herein by reference.
2. Who May Use This Site
This Site is intended for use by adults aged 18 and older. By using this Site, you confirm that you are at least 18 years of age. Primana Insights does not knowingly collect information from individuals under the age of 18. If we become aware that a user is under 18, we will take steps to remove their information promptly.
3. Research Panel Participation
Invitations and Eligibility
Participation in Primana Insights research studies is by invitation only. Individuals are eligible to participate only once per study unless expressly stated otherwise.
Individuals who have not received a direct invitation from Primana Insights, or from a company contracted by Primana Insights to issue invitations, are not eligible for any incentive or compensation associated with that study.
Incentives & Independent Contractor Relationship
Incentives
Where an incentive is offered for participation, it will be paid to the individual who was invited and confirmed eligible for that specific study. Incentive details — including amount, format, and timing — will be communicated before participation begins.
Primana Insights reserves the right to withhold incentive payments in cases where a participant has:
attempted to qualify or participate more than once in the same study,
provided false, misleading, or incomplete information during screening or participation, or
otherwise violated the terms of this Agreement or the specific study terms.
Independent Contractor Relationship
Participation in Primana Insights research studies constitutes an independent contractor relationship, not an employment relationship. Participants are not employees, agents, or representatives of Primana Insights.
4. Acceptable Use
By using this Site, you represent, warrant, and agree that you will not:
Unlawful Content
Upload, transmit, or distribute any content that is unlawful, threatening, defamatory, obscene, fraudulent, or otherwise objectionable
Legal Violations
Violate any applicable federal, state, or local law or regulation
IP Infringement
Infringe the intellectual property, privacy, or other rights of any third party
Unauthorized Access
Attempt to gain unauthorized access to any portion of this Site or its systems
Commercial Solicitation
Use this Site for any commercial solicitation or advertising purpose
False Information
Submit false or misleading information in any form or registration on this Site
Harmful Components
Introduce any virus, malware, or other harmful component to this Site or its users
Unauthorized Scraping
Scrape, harvest, or otherwise collect information from this Site without our written consent
5. Intellectual Property
Ownership
All content on this Site — including but not limited to text, graphics, logos, icons, images, forms, and the overall design and layout — is the property of Primana Insights or its content suppliers and is protected by applicable U.S. and international copyright, trademark, and other intellectual property laws.
Permitted Use
You may access and use the content on this Site for your own personal, non-commercial purposes only. You may not copy, reproduce, distribute, publish, display, modify, or create derivative works from any content on this Site without our prior written permission.
6. User Communications and Submissions
When you submit information to this Site — including through panel registration forms, project inquiry forms, or any other communication — you grant Primana Insights a non-exclusive, worldwide, royalty-free right to use and process that information for the purposes described in our Privacy Policy.
You acknowledge that information you submit through this Site will be handled in accordance with our Privacy Policy. You should not submit information through this Site that you consider confidential or proprietary beyond what is reasonably necessary to complete a form or request.
7. Third-Party Links
This Site may contain links to third-party websites or resources for your convenience. These links do not constitute an endorsement by Primana Insights of those sites or their content. Primana Insights has no control over third-party sites and is not responsible for their content, accuracy, privacy practices, or availability.

8. Disclaimers
THE SITE AND ALL CONTENT, FEATURES, AND INFORMATION PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, PRIMANA INSIGHTS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
PRIMANA INSIGHTS DOES NOT WARRANT THAT:
THE SITE WILL BE AVAILABLE AT ALL TIMES OR FREE FROM ERRORS OR INTERRUPTIONS,
DEFECTS WILL BE CORRECTED,
THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR
THE INFORMATION ON THE SITE IS COMPLETE, ACCURATE, OR CURRENT.
9–11. Liability, Indemnification & Changes
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRIMANA INSIGHTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF BUSINESS — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THIS SITE OR ITS CONTENT, EVEN IF PRIMANA INSIGHTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PRIMANA INSIGHTS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNT YOU PAID TO PRIMANA INSIGHTS, IF ANY, IN THE THREE MONTHS PRECEDING THE CLAIM.
BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.
10. Indemnification
You agree to defend, indemnify, and hold harmless Primana Insights and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, costs, or expenses — including reasonable attorneys' fees — arising out of or related to:
your use of or access to this Site,
your violation of this Agreement, or
your violation of any rights of a third party.
11. Changes to the Site and This Agreement
Primana Insights reserves the right to modify, suspend, or discontinue any part of this Site at any time without notice or liability.
We also reserve the right to update this Agreement at any time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Site after any such changes constitutes your acceptance of the updated Agreement. We encourage you to review this page periodically.
12–14. Governing Law, Severability & Contact
12. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.
Any dispute arising out of or relating to this Agreement or your use of this Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Summit, New Jersey. By using this Site, you consent to the personal jurisdiction of such courts.
Any claim or cause of action arising from your use of this Site must be filed within one (1) year after the claim or cause of action arises, or it will be permanently barred.
13. Severability and Entire Agreement
If any provision of this Agreement is found by a court of competent jurisdiction to be unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this Agreement will continue in full force and effect.
This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Primana Insights with respect to your use of this Site and supersedes all prior agreements or understandings relating to that subject.
